Duties:

One. Financial control and planning

• Participate in strategic decision-making: Participate in major group business and medium and long-term development planning, provide professional financial evaluation, risk warning and strategic advice for daily operations, business expansion, capital allocation and financing plans.

• Beijing headquarters coordination: Collaborate with the Beijing headquarters on annual budgets, rolling forecasts and business analysis, monitor budget execution and provide business insights to management; at the same time, maintain efficient communication and coordination with the headquarters and subsidiaries' finances to ensure timely, accurate and reliable provision of financial information to support the group's strategic decisions.

• Financial reporting and disclosure: Responsible for supervising and managing the compilation of consolidated financial statements, regularly submitting monthly, quarterly, and annual financial statements, management reports, and supervisory reports; ensure that all financial activities and information disclosure strictly comply with HKFRS (Hong Kong Financial Reporting Standards) and the Stock Exchange's disclosure and compliance requirements.

• Capital market operations: Responsible for handling mergers and acquisitions, project financing, and related transactions under the Hong Kong listing rules framework.

II. Company Secretary and multi-jurisdictional compliance

• Multijurisdictional compliance: Responsible for supervising and managing the group's company secretarial affairs in Hong Kong and overseas entities to ensure full compliance with statutory and regulatory requirements in multiple jurisdictions.

• Entity and structure maintenance: Maintain and update statutory records, registers and company structure (including company registration, deregistration, restructuring, share changes and director changes, etc.), ensure timely submission of statutory application documents to the Hong Kong Company Registry and overseas corresponding institutions.

• Meeting organization and preparation: Organize and prepare the board of directors, various specialized committees (such as the audit committee, the compensation committee) and the shareholders' meeting; supervise and ensure the accurate compilation of the meeting agenda, materials, resolutions and meeting minutes.

• Governance framework optimization: Develop, implement and continuously optimize internal compliance policies, governance frameworks and standard operating procedures (SOP) to enhance compliance and operating efficiency, and provide comprehensive support to the board of directors at all levels of corporate governance.

• Cross-border special collaboration: closely collaborate with Chinese mainland legal, financial, tax and business teams to support the Group's transactions (especially related transactions), internal restructuring and other special projects.

Requirements:

• Educational background: Hold a bachelor's degree or above in accounting, finance, law, corporate governance or business administration related subjects.

• Work experience: More than 10 years of Hong Kong financial and listed company secretary experience, of which at least 3 years must be held by the senior management of a Hong Kong mainboard listed company (such as CFO, Deputy CFO or Company Secretary), those with state-owned or central enterprise experience are preferred.

• Personal traits: proactive, careful and sensitive to numbers. Have excellent project management and stress resistance skills, and be able to handle multiple overseas entities and different deadlines at the same time, adapting to a fast-paced work environment.

• Language and communication: Have excellent Chinese and English language and writing skills, fluent Mandarin is a must; have good interpersonal relationships and stakeholder management skills.
