Job Description

KEY RESPONSIBILITIES

  • Lead and provide company secretarial support advice and support on SWCS Group internal company secretarial matters;

  • Prepare and review forms, submission and replies to the Companies Registry or other regulatory bodies;

  • Provide technical support and guidance to professional teams on listed company and private company, onshore and offshore, secretarial practice;

  • Monitor and conduct in-depth research on corporate governance, Listing Rules of Hong Kong Stock Exchange, and recent regulatory trend and developments;

  • Assist in drafting and reviewing of client engagement documentation, and prepare regulatory updates and newsletters to internal and external stakeholders;

  • Assist in preparing regulatory update briefings and trainings for internal staff and external parties;

  • Develop, review, and update standard templates, procedures, company secretarial practices, checklists, and technical bulletins; and

  • Assist in conducting SWCS Group internal control.

REQUIREMENTS

  • Degree-holder in any disciplines, preferably in corporate administration, law, or company secretarial studies;

  • Chartered Secretary qualification as Fellow/Associate member of HKCGI/CGI (or equivalent);

  • Experience in internal control is an advantage;

  • Substantial relevant corporate secretarial or corporate governance working experience (preferably 5+ years) in professional firm, CPA firm, law firm, or listed company, with proven leadership or managerial experience;

  • In-depth knowledge in Listing Rules of Hong Kong Stock Exchange and Hong Kong Companies Ordinance;

  • Fluency in both English and Chinese (including Putonghua);

  • Strong leadership skills, able to work independently and manage teams with excellent interpersonal and communication skills;

  • Excellent multi-tasking ability, detail-oriented, well-organized, with a strong sense of responsibility; and

  • Proficiency in MS Word, Excel, and PowerPoint, and Chinese word processing.

Candidates with relevant experience will be considered for a position commensurate with experience.
