Key Responsibilities

Legal Advisory

• Provide practical legal advice on daily business operations, contracts, and risk management.

• Draft, review, and negotiate various agreements, especially real estate, leasing, property acquisition/disposal, construction, and consultancy contracts.

• Support transactions, due diligence, and regulatory matters related to property projects.

• Manage disputes, external lawyers, and legal claims when required.

Corporate Governance

• Ensure compliance with corporate governance standards and statutory requirements.

• Support board meetings: preparation of agendas, papers, minutes, and resolutions.

• Maintain proper corporate records and ensure timely filings.

Company Secretarial Management

• Manage and mentor a small company secretarial team.

• Oversee annual returns, corporate filings, and company structure updates.

• Ensure the team follows internal governance policies and compliance procedures.

Regulatory & Compliance

• Monitor changes in laws and regulations affecting the real estate and construction industry.

• Develop and implement internal compliance frameworks and policies.

• Act as a liaison with government bodies, regulators, lawyers, and auditors.

Requirements

• Bachelor’s degree in Law (LLB or equivalent).

• Qualified lawyer in Hong Kong or a common law jurisdiction.

• 5–8 years of post‑qualification experience, with strong exposure to real estate transactions, leasing, or property development.

• Experience in corporate governance and company secretarial oversight.

• Strong communication, drafting, and stakeholder‑management skills.

• Able to work independently and handle multiple tasks.
