Our client :

Our client is a well-established family office with a focus on private equity investments. The firm specializes in acquiring and managing a global portfolio of hospitality assets, including hotels and resorts. With their ongoing expansion, they are actively investing in markets across Europe, the USA and Japan. To support the growing complexity of cross-border transactions, they are seeking a highly capable Legal Manager to join the team and serve as the key legal coordinator for the firm’s overseas investments.

The Role :

As a key business partner and legal advisor with their family members, you will play a critical role in the full deal cycle, from due diligence to asset management. You will act as the primary legal liaison between the family office and external law firms in various jurisdictions. This role requires a proactive individual who is comfortable managing legal risks on high-value transactions, specifically those related to real estate and hospitality development.

Responsibilities:

1. Instruct, manage, and coordinate with external law firms in Europe and Japan to ensure legal strategies align with business objectives and budget constraints.

2. Work closely with external law firms to review, draft, and negotiate a wide variety of commercial contracts, including but not limited to: Land acquisition agreements, Construction and development contracts, Hotel renovation and extension project agreements, Transactional documents with local property owners and JV partners etc.

3. Identify and assess legal and regulatory risks associated with cross-border investments, providing clear, practical advice to the investment team.

4. Conduct legal research on foreign investment regulations, zoning laws, and hospitality industry standards in target jurisdictions.

5. Assist in managing corporate secretarial matters and internal compliance relating to overseas special purpose vehicles (SPVs).

Requirements :

1. Minimum of 3 years of experience working exclusively within a Family Office or Private Equity firm. Candidates from top-tier law firms with secondment experience to such firms will also be considered.

2. Must have demonstrable experience handling real estate, construction, or M&A transactions. Experience with hospitality assets (hotels/resorts) is a distinct advantage.

3. Experience handling legal matters in Europe or Japan is highly preferred but not mandatory.

4. Fluency in English and Mandarin is mandatory.

5. Proficiency in Japanese or European languages is a plus.

6. Strong project management skills with the ability to oversee multiple external counsel simultaneously.

7. Excellent drafting skills with a keen eye for detail in commercial contracts.

8. Ability to work independently in a fast-paced, deal-driven environment.
