Duties include:
1. Shareholders and board of directors support
• Responsible for providing legal and compliance support to shareholders, the board of directors and special committees at their meetings
• Draft, review meeting notices, agendas, resolutions and related legal documents
• Ensure that the meeting procedures comply with the Company Act and the Articles of Association
• Assist the company secretary in maintaining the company register, directors' register and statutory records
• Follow up on the implementation and compliance of meeting resolutions
2. Legal and compliance management
• Ensure that the company's business complies with Hong Kong and relevant jurisdictional laws and regulations
• Establish and maintain legal and compliance frameworks, develop policies and processes
• Supervise compliance training and promotion, manage internal compliance inspections and improvements
3. Contract and transaction support
• Draft and review various commercial contracts and legal documents
• Participate in major commercial negotiations, provide legal advice and risk assessment
• Manage contract ledger and performance tracking, and handle contract disputes
4. Litigation and dispute resolution
• Manage Hong Kong and cross-border litigation, arbitration and mediation procedures
• Choose and manage external legal teams
• Develop dispute resolution strategies to protect company interests
5. Corporate governance and compliance
• Ensure compliance with the Hong Kong Companies Ordinance and listing rules (if applicable)
• Process director responsibilities, shareholder rights, and board compliance matters
• Manage data protection compliance
6. Intellectual Property Management
• Protect the company's trademarks, patents, copyrights and trade secrets
• Handling infringement complaints and intellectual property disputes
7. Anti-bribery and risk management
• Conduct compliance risk assessment and propose improvement suggestions
• Manage third-party compliance, including supplier and agent due diligence
8. Cross-border legal support
Job Requirements
1. Educational background
• Bachelor's degree or above, with preference for those holding a Hong Kong practising lawyer qualification
• Familiar with the Hong Kong legal system and understand the basic principles of common law
2. Work experience
• More than 5 years of legal practice experience
• Candidates with Hong Kong company legal or international law firm experience are preferred
• Familiar with cross-border business and compliance management experience, those who are familiar with it are preferred
3. Professional skills
• Proficient in Hong Kong contract, company, commercial and compliance law
• Familiar with data protection, anti-money laundering, competition law, etc.,
• Excellent contract drafting and negotiation skills
4. Personal qualities
• Excellent Chinese and English communication and expression skills
• Strong analysis, judgment and problem-solving skills
• High sense of responsibility and stress resistance
